Although the formalization of the assignment of criminal responsibility to legal entities in the legislative system of our country according to the Islamic Penal Code approved in 2012, it is commendable; But the shortcomings in the legislation is a problem that has made the issue difficult in the implementation phase; Therefore, considering the history of the subject and the commonality of the problem in other criminal systems, including England, this research aims to use the experiences of the British criminal system in order to find the root of the shortcomings and legal challenges as well as the practical solution to solve them, trying to examine the issue with Descriptive-analytical method, of course, using comparative studies in the British criminal system, and in this way, he has used library tools. The obtained results indicate that the criminal legislation of our country in legislating the criminal responsibility of legal entities does not follow a comprehensive model and the adopted model which is vicarious responsibility should be changed to the model of organizational responsibility and the law should be amended in this way.
